Terms of Use
These Terms of Use (the “Terms”) govern the use of the NOLEJ AI technology, namely the online solution designed by NOLEJ and provided as SaaS, consisting of an authoring tool that enriches documents in order to transform them into interactive e-learning teaching material and to create new resources through the combined contributions of artificial intelligence and cognitive science (the “Technology”). The resources produced by the Technology are generated automatically and constitute teaching proposals that must be checked and validated by the User before any use or distribution.
The Technology belongs to NEURONYS SAS, 99 A boulevard Constantin Descat, 59200 Tourcoing, France (“NOLEJ”).
Any natural person using the Technology made available by NOLEJ is a “User”. The User has access to the Technology by virtue of (i) a free trial authorization granted by NOLEJ personally to the User or (ii) a License Agreement (the “Agreement”) entered into between NOLEJ and the institution to which the User is attached (the “Institution”). Institutions have administrator access allowing them to assign the licenses they have subscribed to selected Users. Users must accept and comply with the Terms when they first log in.
1. User registration
To use the Technology, the User must register by creating a user account with all the required information, provided completely and accurately, and must have accepted these Terms of Use. Failure to comply with this obligation will make the Technology unavailable.
The User is responsible for the confidentiality and security of their login credentials. By registering, the User agrees to be fully responsible for all activities that take place under their username and password.
The information provided by the User when registering is stored and used in accordance with NOLEJ's Privacy Policy, which is available at https://www.nolej.io/privacy-policy/
The User is required to inform NOLEJ immediately at the following address, dataprivacy@nolej.io, if they believe that their personal information, including but not limited to the user account, access credentials or personal data, has been breached, improperly disclosed or stolen.
NOLEJ reserves the right, at its sole discretion, to suspend or delete at any time and without notice any User accounts that do not comply with these terms of use. The suspension or deletion of User accounts does not give rise to any claim for compensation, damages or refund.
2. Use of the Technology
Subject to the conditions set out in these Terms of Use, NOLEJ grants Users a right to use the Technology in an educational context of transmitting and acquiring knowledge. This right of use is personal, revocable, non-exclusive, non-sublicensable and non-transferable.
The User is not authorized to carry out any of the following actions and shall not allow any third party to engage in the following actions:
- (i)share their named access with a third party (including within the same Institution);
- (ii)access or attempt to access other NOLEJ systems, programs or data that are not made available to the public;
- (iii)copy, reproduce, alter, merge, modify, adapt, translate, republish, download, publish, transmit, resell, lend, monetize or distribute the Technology in any way whatsoever;
- (iv)decompile, reverse engineer, disassemble or otherwise reduce the Technology to a form perceptible by a person;
- (v)submit Content (within the meaning of Article 3) that cannot be transmitted to or processed by NOLEJ because of data protection regulations, contractual or statutory confidentiality obligations, export restrictions or other statutory provisions or third-party rights;
- (vi)use the Technology to circumvent the academic rules, assessment procedures or policies applicable within the Institution;
- (vii)use the Output Data automatically, without prior human review, to distribute a teaching resource or to make a decision concerning a learner;
- (viii)use the Technology for purposes prohibited by the applicable regulations on artificial intelligence (in particular Regulation (EU) 2024/1689), including for the purpose of recognizing learners' emotions, unless an exception is provided for by law; or
- (ix)use the Technology otherwise than in the manner expressly authorized by these Terms.
All rights granted to the User end immediately:
- in the case of a free trial authorization, on the expiry date of that authorization.
- in the case of use granted under a License Agreement with an Institution, upon termination or expiry of that License Agreement.
3. User Content and use of Output Data
Within the scope of the rights of use granted to them, the User may submit documents, instructions or other items to the Technology (“Input Data”) and receive responses from it in return on that basis (“Output Data”). Input Data and Output Data are collectively referred to as “Content”.
The User grants NOLEJ the right to temporarily store, modify, process, translate, improve, transcribe and transmit the Content, to the extent necessary to provide its services, and to sublicense the aforementioned rights to its subcontractors.
The User is solely responsible for the selection of Input Data. The User must ensure that it can lawfully be processed by NOLEJ and that it does not infringe any applicable law or any third-party right, in particular intellectual property rights, privacy or confidentiality.
Unless expressly authorized by the Institution and subject to appropriate safeguards being put in place, the User must not submit learners' papers, data that makes it possible to identify a learner, sensitive data within the meaning of the applicable regulations, health-related data or personal data that is not strictly necessary for the educational purpose pursued.
In particular, Input Data must not include any illegal, defamatory, harassing, offensive or pornographic content, any content constituting unlawful discrimination, any content encouraging an offence or likely to give rise to civil or criminal liability, or any content that could reasonably pose a risk to a person's safety, security or health. This list is not exhaustive.
The User acknowledges that the substance of the Output Data generated by the Technology depends on the Input Data entered by the User, and that it is not checked by NOLEJ. Consequently, it may contain errors, inaccuracies, omissions, inconsistencies, incorrect references or bias. It constitutes neither an official source nor pedagogical or professional advice.
Before any use or distribution, the User must carry out an effective human review of the Output Data. In particular, it is the User's responsibility to check its accuracy, consistency, pedagogical relevance, references, illustrations, answers, instructions and suitability for the age, level and needs of the learners concerned. The User remains solely responsible for the choice, validation and distribution of the teaching resources they use. The Technology is not a substitute for the User's professional expertise or pedagogical judgment.
Quizzes, exercises and other assessments generated by the Technology are solely aids. They must not, on their own, form the basis of a grade, a guidance decision, a sanction or any other individual decision concerning a learner.
NOLEJ reserves the right to withdraw, delete or block the Content at its own discretion and to refuse the User access to the Technology, without notice:
- in the event of a complaint based on that Content,
- in the event of receipt of a notice of infringement of intellectual property rights;
- by order of a public authority; or
- where NOLEJ is informed that the Content may pose a risk to Users, third parties and/or the availability of the Technology.
To the fullest extent permitted by applicable law, the User retains ownership rights in the Output Data. NOLEJ therefore assigns to the User all its rights, title and interest, if any, in the Output Data. However, given the nature of the Technology, and of artificial intelligence in general, Output Data may not be unique and other Users may receive similar results. The assignment provided for above therefore does not extend to the output of other users or to the output of a third party.
4. Artificial intelligence and transparency
Within the meaning of the applicable regulations on artificial intelligence (in particular Regulation (EU) 2024/1689), NOLEJ acts as the provider of the Technology. The Institution and, where applicable, the User act as deployers of the Technology and, as such, assume the resulting obligations.
The Technology relies on generative artificial intelligence systems: Output Data is produced automatically by AI models from the Input Data submitted by the User. NOLEJ undertakes to ensure that Output Data generated or substantially modified by the Technology is identifiable as such, in particular through a marking or a notice displayed in the interface at the time it is generated or viewed, in accordance with the applicable regulations on artificial intelligence (in particular Regulation (EU) 2024/1689, known as the “AI Act”).
Where the applicable regulations on artificial intelligence impose an obligation to inform the persons concerned, it is the responsibility of the Institution or, where applicable, the User, in their capacity as deployer, to fulfil it.
5. Service interruption
In order to ensure the best possible level of service, NOLEJ reserves the right to interrupt the services for maintenance, system updates or any other change, informing Users in an appropriate manner.
In addition, the Technology may be unavailable for any reason beyond NOLEJ's reasonable control (for example, labor disputes, infrastructure failures or power outages, etc.).
6. Indemnification
The User agrees to defend, indemnify and hold NOLEJ harmless against any claim or damage arising from
- the User's infringement of third-party rights, including but not limited to any right to privacy or intellectual property right;
- the User's breach of a law, rule or regulation, or of these Terms of Use;
- the User's willful misconduct;
7. Limitation of warranty and liability
NOLEJ's services are provided “as is”, subject to any warranties that cannot lawfully be excluded. NOLEJ does not warrant that the Technology will meet the User's requirements, will be suitable for a particular purpose, in particular an educational purpose, or will be free of errors, inaccuracies, omissions or bias. Use of the Output Data remains subject to its verification and validation by the User in accordance with Article 3.
NOLEJ does not warrant that the Technology will be available at any particular time or location, uninterrupted or secure; that all defects or errors will be corrected; or that the Technology will be free of viruses or other harmful components. Any content downloaded or obtained through the use of the Technology is at the User's own risk.
To the fullest extent permitted by applicable law, NOLEJ shall in no event be liable for:
- any indirect, incidental, special or consequential damage, including loss of profits, goodwill, use or data;
- any damage, loss or harm resulting from hacking, tampering or any other unauthorized access to or use of the service or the user account or the information it contains;
- any error, omission, inconsistency, bias, incorrect reference or inaccuracy in the Output Data;
- any pedagogical decision, grading, sanction or other decision concerning a learner taken on the basis of Output Data;
- personal injury or property damage, of any nature whatsoever, resulting from the User's access to or use of the Technology;
8. No waiver
NOLEJ's failure to enforce a right or provision under these terms does not constitute a waiver of that right or provision. No waiver shall be deemed a further or continuing waiver of that term or of any other term.
9. Privacy Policy
To find out more about the use of their personal data, Users may refer to NOLEJ's Privacy Policy, available at https://www.nolej.io/privacy-policy/
The Privacy Policy specifies in particular, depending on the features concerned, the categories of data processed, the recipients and subcontractors, any use of providers of artificial intelligence models, data transfers, retention periods and the conditions under which Input Data and Output Data may be retained or used.
10. Intellectual property rights
Without prejudice to any more specific provision of these Terms, all intellectual property rights, such as copyright, trademark rights, patent rights and design rights relating to the Technology, are the exclusive property of NOLEJ or its licensors and are subject to the protection afforded by applicable laws or international treaties on intellectual property.
11. Changes to these terms
NOLEJ reserves the right to amend or modify these terms of use at any time. Such changes will affect the relationship with the User only for the future. Continued use of the service means that the User accepts the revised terms. If the User does not wish to be bound by the changes, they must stop using the service.
12. Contact
All communications relating to the use of the Technology must be sent using the following contact details: support@nolej.io.
13. Governing law
These terms are governed by French law, without regard to conflict of law principles.
